HelthFit Partner Program Terms

1. About these terms

These Partner Program Terms ("Partner Terms") are an agreement between you and HelthFit Apps ("HelthFit", "we", "us", "our"). They cover the HelthFit Partner Program, also called the affiliate program: recommending HelthFit apps with your own partner code and links, and earning commission when the people you refer pay for a subscription.

You accept these Partner Terms by ticking the box when you apply at helthfit.com/partners, or when your partner dashboard asks you to. If you apply for a company or other organisation, you confirm that you may accept these Partner Terms for it, and "you" means that organisation.

The HelthFit Terms of Service also apply to you as a user of our websites and apps. Where they and these Partner Terms say different things about the Partner Program, these Partner Terms apply. Trainers who sell plans in HelthFit Pro follow the trainer terms on helthfit.com/trainers instead.

2. Joining the program

• You must be at least 18 years old (or the age of majority where you live, if higher) and able to enter into a contract.
• Give us true and complete information when you apply, and keep your email address and payout details up to date.
• You must not be on a U.S. or other government sanctions list, or live in or be based in a country or region under comprehensive U.S. sanctions.
• We review every application. We may approve or decline any application, and we don't have to give a reason.
• One partner account per person or organisation. Keep your password private; you are responsible for what is done with your partner account.

3. Your partner code and links

Once approved, you get a partner code, links for each HelthFit app and a partner dashboard. Use only the code and links we give you, without changing them. You may shorten a link, as long as it still leads straight to our link. We may change how links work; if you need to update yours, we will tell you.

4. Commission

4.1 Your rate

Your commission rate is the one in your approval email and your partner dashboard. The standard rate is 30% of Net Revenue (4.3) from every subscription payment made by a member you referred, for as long as they stay subscribed. We may agree a different rate with you, or a fixed amount for each new paying member, in writing (email counts); your dashboard always shows the one that applies to you.

4.2 What earns commission

Payments for subscriptions to HelthFit apps (HelthFit Pro Premium and the subscriptions of the other HelthFit apps) made by your referred members (section 5). Nothing else earns commission, including: free trials; free, complimentary or promotional access; time unlocked with a code, a reward or a friend referral; trainer plans or coaching sold through HelthFit Pro; and any other product, unless we agree otherwise in writing.

4.3 Net Revenue

• Web payments (by card): the amount the member actually paid, after discounts and credits, not counting tax.
• Google Play and App Store payments: the subscription's list price less the store's standard 15% fee. The stores don't tell us the exact amount we receive for each payment, so your dashboard marks these amounts "estimated".
• Refunds and chargebacks are taken off as described in section 6.

4.4 While your account is active

Commission is only earned while your partner account is active, not while it is waiting for review, paused or ended.

4.5 Our records decide

We track clicks, sign-ups and payments with our own systems, and our records decide what you have earned. If we find a mistake, we correct it, in your favour or ours. Tracking can't catch every case (for example when someone signs up on another device, or their browser or store blocks the link), and we can't pay commission on referrals we couldn't track.

5. Who counts as your referral

• A referred member is a person who creates a new account in a HelthFit app within 90 days of clicking your link, on the web or by installing the app from Google Play through your link.
• A member is credited once, when their account is created, and can't be moved to you later. People who already had an account in that app don't count.
• Each member is credited to one referrer at most.
• These never count: you; accounts you own, created or control; fake, automated or duplicate accounts; and people you paid or rewarded to sign up, unless we agreed to that in writing.

6. Refunds, chargebacks and fraud

• If a payment is refunded, charged back, disputed or reversed by a store, the commission on it is reversed (in part, for a partial refund). If it was already paid to you, we take it off your future commission.
• If we have reasonable grounds to believe commission comes from fraud or from a breach of these Partner Terms, we may hold it while we look into it. Commission that does come from fraud or a breach is not payable, and you must pay back any of it we already paid.

7. Payouts

• We pay monthly, once at least US$20 is owed to you. A smaller balance carries over to the next month.
• We pay in U.S. dollars to the payout details you give us in your partner dashboard. Check them carefully: we are not responsible for a payment sent to the details you gave us.
• Before we pay, we may ask you to confirm who you are, your payout details and your tax information (for example IRS Form W-9 if you are a U.S. person, or Form W-8BEN or W-8BEN-E if you are not), and we may hold payment until we have them.
• Fees your own bank, wallet or payment provider charges you to receive the money, and any currency conversion, are yours.
• If you think a payout is wrong, tell us within 60 days of it.

8. Taxes

You are responsible for reporting and paying your own taxes on commission (for example income tax, VAT or GST). Where the law requires us to withhold tax from a payment or report payments to a tax authority (for example an IRS Form 1099 for U.S. partners), we will.

9. How you may promote HelthFit

9.1 You must

• Promote HelthFit honestly, saying only things about our apps that are true and that you can back up.
• Say clearly that you earn a commission, next to your link or recommendation and before people click (for example "I earn a commission if you subscribe through my link"). A hashtag alone or a line hidden in your profile isn't enough. The U.S. Federal Trade Commission's Endorsement Guides and similar rules elsewhere (such as the UK CAP Code and EU consumer law) require this.
• Follow the laws and platform rules wherever you promote, including advertising, consumer-protection, anti-spam and privacy laws.

9.2 You must not

• Make medical or health claims: that a HelthFit app diagnoses, treats, cures or prevents any disease or condition, replaces a doctor or dietitian, or guarantees weight loss or any other result; or use before-and-after claims you can't prove.
• Encourage unsafe eating, fasting or exercise in connection with HelthFit.
• Send spam: unsolicited emails, messages, texts or comments, or messages to people who haven't agreed to hear from you.
• Post fake reviews or ratings, or pay or reward anyone for reviewing or rating a HelthFit app.
• Bid on HelthFit names (HelthFit, HelthFit Pro, the name of any HelthFit app, or misspellings of them) in search or app-store ads, or use them in domain names, app names, social media handles or ad accounts.
• Present yourself as HelthFit, or as our employee or official representative.
• Offer cashback, money or other rewards for signing up, list HelthFit on coupon, deal or cashback sites, or publish discount codes that weren't given to you to share, unless we agree in writing.
• Create clicks or sign-ups that aren't real: bots, scripts, hidden or forced clicks, pop-unders, cookie stuffing, or anything like them.
• Promote HelthFit in or next to content that is illegal, hateful, violent or sexually explicit, that infringes anyone's rights, or that is aimed at people under 18.

If we ask you to change or remove something that breaks these rules, do it promptly, and within 2 business days at the latest.

10. HelthFit names and materials

While your partner account is active, we give you a limited, non-exclusive, non-transferable licence, which we may withdraw, to use the HelthFit names, logos, app screenshots and other materials we provide or show on our website, only to promote HelthFit apps under these Partner Terms. Don't change our logos or combine them with other marks, and don't use them in a way that suggests we endorse anything else. We own HelthFit's names, logos, apps and content; we keep every right not given here. When your partner account ends, this licence ends and you must stop using our logos and materials.

11. Member privacy

• We never give partners a member's name, email address or other contact details. Your dashboard shows only what you need to follow your commission: totals, payments and, where the dashboard offers it, a member code made only for you.
• Keep that information confidential and use it only to follow your commission. Never try to find out who a member is, contact members through the program, or combine dashboard information with other information to identify anyone.
• You are responsible for how you handle personal data of your own audience (for example your mailing list) under the laws that apply to you. Never collect personal data for HelthFit or ask anyone for their HelthFit sign-in details.

12. Your information as a partner

To run the program, pay you and meet our legal duties, we keep the details you give us (your name, email, website, audience, how you will promote, country, payout details and tax forms), your sign-ins, your clicks, credited sign-ups, commission and payouts, and a record of which version of these Partner Terms you accepted and when, with the IP address it was accepted from. We share them only with the services that help us do this (for example our hosting, email and payment providers) or where the law requires. We keep them while you are a partner and afterwards for as long as tax and accounting law requires (usually up to 7 years for payment and tax records). 13. Confidential information

Keep confidential anything we tell you about the program that isn't public (for example a special rate, our figures or plans), and don't share it without our permission.

14. Changes to these terms and the program

• We may change these Partner Terms, commission rates or the program. Each version of these Partner Terms has a date.
• We email you at least 14 days before a change that lowers your commission or adds to what you must do takes effect, unless the law, a store or a payment provider makes us change sooner, or the change is needed to stop fraud.
• A new rate applies to payments made after it takes effect.
• When the version changes, your partner dashboard asks you to accept the new one before you can use it again. If you don't want to accept it, you can end your partner account (section 15).
• We may stop the program with at least 30 days' notice by email (or less if the law requires). Every partner account then ends under section 15.

15. Ending your partner account

• You can end your partner account at any time by emailing [email protected].
• We can end it at any time with 14 days' notice by email. We can pause or end it straight away if you break these Partner Terms, if we have reasonable grounds to suspect fraud, or if the law requires it.
• From the day it ends, your code and links stop earning commission.
• Commission you earned before then is still yours. We pay it, less refunds and chargebacks, at the first monthly payout at least 60 days after the end (so late refunds can be counted), even if it is less than US$20, once we have your payout and tax details. Commission that comes from fraud or a breach of these Partner Terms is not payable (section 6).
• Sections 6, 7, 8, 11, 12, 13, 16, 17, 18 and 19 continue after your account ends.

16. Independent partners

You are an independent business, not our employee, agent, partner in law or franchisee. You can't make promises or sign anything for HelthFit, and you pay your own costs. The program is not exclusive: you may promote other products, and we work with other partners.

17. No guarantee and limits on liability

• The program, the partner dashboard and your links are provided "as is". We don't promise any level of earnings, or that tracking or the dashboard will always work without errors or interruptions.
• To the fullest extent the law allows, neither of us is liable to the other under these Partner Terms for indirect or consequential losses or lost profits, and our total liability to you under these Partner Terms is limited to the greater of the commission we paid you in the 12 months before the claim and US$100.
• This doesn't limit commission you have earned and are owed under these Partner Terms, or any liability that the law doesn't allow to be limited.

18. Claims caused by your promotion

You will defend and compensate HelthFit, its owners and its staff for claims, fines and costs (including reasonable legal fees) brought by others or by authorities because of your promotion, your content, or your breach of these Partner Terms or the law.

19. Law, disputes and general terms

• These Partner Terms are governed by the laws of the State of Wyoming, United States, and disputes about them are for the state or federal courts in Wyoming. Before going to court, please contact us so we can try to settle it within 30 days.
• These Partner Terms, your approval email and the documents they mention are our whole agreement about the program.
• If a part of these Partner Terms can't be enforced, the rest still applies.
• You may not transfer your partner account or these Partner Terms without our written consent. We may transfer them to a company that takes over HelthFit.
• If we don't enforce a right straight away, we haven't given it up.
• We send notices to the email address in your partner account. Send yours to [email protected].
• These Partner Terms are written in English. If we translate them, the English version applies.
